These Terms of Service ("Terms") govern your use of the NPCFactory service ("Service"), operated by HiveTech OÜ, an Estonian private limited company (registry code: 16591569, registered address: Sääse tn 10-50 Tamsalu linn, Tapa vald Lääne-Viru maakond 46105) ("we", "us", "our").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
NPCFactory is an API-based service that provides AI-powered NPC (non-player character) dialogue and actions for games. The Service includes:
AI-generated content is produced by third-party AI providers and our own infrastructure. We do not control, guarantee, or warrant the accuracy, appropriateness, legality, or quality of AI-generated outputs. AI content may contain errors, harmful material, or content that infringes third-party rights. You are solely responsible for reviewing, filtering, and using AI-generated outputs appropriately in your games. We are not liable for any harm arising from AI-generated content.
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. You provide accurate, current information when registering and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate accounts that violate these terms. We may remove, block, or refuse to process any content that we reasonably believe violates these Terms or applicable law, without prior notice where necessary for security or compliance.
The Service operates on a credit-based system. Credits are consumed when you use the API. You may purchase additional credits via Stripe. All fees are in EUR. Credits do not expire unless otherwise stated. Prices and credit rates are subject to change with at least thirty (30) days' notice via email or a notice in the Service. If we introduce credit expiry, we will give at least thirty (30) days' notice before it applies to existing credits.
Credits once consumed are non-refundable. For consumers, mandatory refund rights under Estonian and EU consumer law (e.g. 14-day right of withdrawal for distance contracts, where applicable) apply. Refund requests for unused credits may be considered at our discretion.
Pausing credit-consuming features. Features that consume credits (including AI dialogue, actions, and other model-backed functionality) depend on third-party AI and hosting providers and on our own infrastructure. We may suspend, throttle, or pause those features—in whole or in part, for all users or selectively—when we reasonably consider it necessary. Examples include: insufficient balance, quota, or availability at a third-party provider; the need to control spend or avoid overruns; maintenance, upgrades, or outages; security or abuse concerns; or other operational or financial reasons. A pause does not by itself forfeit or cancel unused credits on your account. Where reasonably practicable we will give notice via the Service or email; we may act without prior notice when delay could cause material loss, legal risk, widespread service failure, or similar urgency. This does not limit our rights under Section 12 (Termination) or elsewhere in these Terms. Mandatory consumer rights that apply to you remain unaffected.
We retain all rights to the Service, including the API, software, and documentation. You retain ownership of content you create (games, NPC prompts, etc.) and of AI-generated responses produced through your use of the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the EU General Data Protection Regulation (GDPR).
You agree to indemnify, defend, and hold harmless HiveTech OÜ, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) content you create, submit, or transmit through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights. This indemnification obligation survives termination of your account.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by Estonian law (Law of Obligations Act, Võlaõigusseadus):
We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, government actions, strikes, failures of third-party services (e.g. AI providers, hosting, payment processors), quality or availability of AI model outputs, internet or telecommunications failures, or power outages.
You may close your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or for operational, security, or compliance reasons. Except where immediate action is necessary (e.g. security threats, illegal activity), we will give at least fourteen (14) days' notice before terminating access. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g. liability, IP) shall survive.
We may modify these Terms from time to time. We will notify you of material changes via email or a notice in the Service. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Estonia. For consumers, mandatory consumer protection laws of your country of residence may apply.
